1. Acceptance of Terms

These Terms of Service (“Terms”) are a legal agreement between you and Elrond Health Inc., a Delaware corporation doing business as Rivendell in New York and Rivendell Insurance & Administration Services in California (“Rivendell,” “Company,” “we,” “our,” or “us”). Our principal office is located at 895 Broadway, Floor 5, New York, NY 10003. If you do not agree to abide by these Terms, please do not use this Service.

2. Description of Service

Rivendell Health provides a digital platform for health insurance brokers to manage disclosure forms for group level-funded health plans. Our Service includes tools for creating, managing, and obtaining digital signatures on disclosure forms, collecting employee health information, generating PDF documents, and tracking form status through completion and signature processes.

3. User Accounts

To use certain features of the Service, you must register for an account. When you register for an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate and complete
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Healthcare Compliance

As a platform handling healthcare-related information, you acknowledge and agree that:

  • You will comply with all applicable healthcare laws and regulations, including HIPAA where applicable
  • You are responsible for obtaining proper authorization before collecting or disclosing any personal health information
  • You will use the Service only for legitimate business purposes related to health insurance brokerage
  • You will ensure the accuracy and completeness of all health information submitted through the Service

5. Health Information Compliance

Rivendell is a covered entity under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), as amended by the Health Information Technology for Economic and Clinical Health Act (“HITECH”). Our platform processes Protected Health Information (PHI) as defined under HIPAA. By using our services, you acknowledge that:

  • (a) Health disclosure forms and enrollment information submitted through the platform may constitute PHI subject to HIPAA protections.
  • (b) We maintain administrative, technical, and physical safeguards for PHI in accordance with the HIPAA Security Rule (45 CFR Part 164, Subpart C).
  • (c) We execute Business Associate Agreements with all third-party vendors that create, receive, maintain, or transmit PHI on our behalf.
  • (d) Our use and disclosure of PHI is governed by our Privacy Policy and Notice of Privacy Practices, and as permitted or required by HIPAA and applicable state law.
  • (e) You have the right to request access to, amendment of, and an accounting of disclosures of your PHI as described in our Privacy Policy.
  • (f) In the event of a breach of unsecured PHI, we will provide notification as required by 45 CFR §§164.400–414.

6. Communications and Messaging

By providing your phone number or initiating a message conversation with us, you consent to receive service-related messages from Rivendell, including via Apple iMessage, SMS, or other messaging platforms. These messages may include enrollment reminders, scheduling confirmations, customer support responses, and other communications related to the services you have requested.

Consent to receive messages is not a condition of purchasing any service. You may revoke consent at any time by notifying us at [email protected], by calling (646) 600-8840, or by requesting to stop messages in your conversation with our support team.

7. Subscription and Payment

Some aspects of our Service are provided on a subscription basis. By subscribing, you agree to:

  • Pay all applicable fees as described in our pricing plans
  • Provide current, complete, and accurate billing information
  • Authorize us to charge your payment method on a recurring basis
  • Be responsible for all charges incurred under your account

Subscription fees are non-refundable except as required by law. We reserve the right to change our subscription plans or adjust pricing with 30 days' notice.

8. User Responsibilities and Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable laws or regulations, including healthcare privacy laws
  • Create disclosure forms that contain false, misleading, or fraudulent information
  • Impersonate any person or entity or misrepresent your affiliation with any organization
  • Upload or transmit viruses or any other type of malicious code
  • Attempt to gain unauthorized access to any portion of the Service or any health information
  • Interfere with or disrupt the Service or servers
  • Use the Service to send spam or unsolicited communications
  • Violate the privacy rights of others
  • Use the Service for any purpose other than legitimate health insurance brokerage activities

9. Intellectual Property Rights

Our Intellectual Property

The Service and its original content, features, and functionality are owned by Rivendell Health and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of any content you create using our Service. By using our Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of providing the Service to you.

10. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. Given the sensitive nature of health information, we implement appropriate security measures to protect personal and health data. Please review our Privacy Policy, which describes our data collection and protection practices.

11. Electronic Signatures

By using our electronic signature features, you acknowledge that electronic signatures are legally binding and enforceable. You agree to conduct transactions electronically and consent to receive electronic records. You are responsible for ensuring that signers have proper authorization to sign disclosure forms.

12. Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • That the Service will be uninterrupted or error-free
  • That defects will be corrected
  • That the Service is free of viruses or harmful components

We do not provide legal, tax, or healthcare advice. You should consult with appropriate professionals for such advice.

13. Limitation of Liability

To the maximum extent permitted by law, Rivendell Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar harmful code transmitted through the Service
  • Any errors or omissions in any content

14. Indemnification

You agree to defend, indemnify, and hold harmless Rivendell Health and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service.

15. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, except where superseded by applicable federal law including HIPAA, HITECH, and CMS regulations. For California residents, certain provisions of California law apply as described in our California Privacy Supplement. For insurance-related matters in New York, the laws of New York State apply to the extent required by the New York Department of Financial Services.

17. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
